These terms govern your use of the Italy programme page. Written plainly. They sit alongside our Privacy Notice and our separate engagement letter, which governs any actual client work we do together.

Who these terms apply to
These Terms of Use govern your use of the Italy programme page operated by The Key Advisory FZ-LLC (TKA), a company organised under the laws of the United Arab Emirates with offices in Dubai. They apply to every visitor of this page from the moment the page is loaded. Continuing to use the page constitutes acceptance. If you do not accept, please close the page.

What TKA actually does
TKA acts in one of three coordinated roles per engagement, declared in writing at the first email and never combined on a single transaction.
Role one: introducer between an investor and an Italian operating company seeking growth capital under the Italian Investor Visa framework. Subscriptions are executed directly between the investor and the operating company under Italian counsel; TKA does not handle subscription funds, does not hold client money, and does not act as placement agent for securities offered to the public.
Role two: buyer-side or seller-side property mandate, in co-operation with an Italian-licensed real-estate brokerage (agenzia immobiliare registered under Italian Law 39/1989). TKA originates and coordinates from Dubai; the regulated brokerage acts in Italy. The Italian-side brokerage and its licence are disclosed to the client on engagement.
Role three: coordinator of Italian counsel, notaries, and counterparties to deliver the residency, property, or structuring engagement end-to-end. TKA is not itself an Italian immigration agent, a notary, a lawyer, a tax adviser, or a financial intermediary.
Not a solicitation of securities to the public
The Italian Investor Visa references on this page describe a statutory residency programme, not an offer or solicitation of securities to the public within the meaning of Italian or European Union securities law. Specific subscription opportunities are introduced only on an individually qualified, by-invitation, private-placement basis after suitability assessment. Nothing on this page constitutes a prospectus, offering memorandum, or invitation to subscribe.
Listings and indicative content
Properties and mandate types shown on this page reflect the kinds of opportunities TKA brokers in coordination with Italian-licensed counterparties. Specific property details, prices, and photography are subject to verification at signed expression of interest, and indicative photography is used where the underlying mandate is held off-market. No content on this page constitutes a binding offer to sell. Availability, terms, and pricing can change without notice.
Engagement and fees
Any actual engagement between you and TKA is governed by a separate engagement letter signed by both parties. Fee structure, scope, milestones, conflict-of-interest declarations, KYC requirements, and termination terms are set out in that engagement letter, which controls in case of inconsistency with this page. No engagement arises from your use of this site, your submission of the contact form, or any preliminary correspondence, until the engagement letter is signed.
Confidentiality of correspondence
Information you share with us before signing an engagement letter or non-disclosure agreement is treated as commercially sensitive and handled discreetly, but is not protected by attorney-client privilege or any equivalent regulated-professional confidentiality regime. If you wish to share confidential information before engagement, request a mutual NDA, which we will provide on request.
Conflict of interest policy
TKA does not act on both sides of the same real-estate transaction and does not accept fees from both buyer and seller on a single deal. Where TKA receives an introduction or coordination fee from an Italian counterparty (operating SRL, notary, brokerage, bank), the fee structure is disclosed to the client at engagement. TKA does not accept undisclosed referral fees from any third party.

Intellectual property

Where an engagement letter is in place, the liability terms of that engagement letter govern instead of this paragraph.
Indemnification
You agree to hold TKA harmless against any third-party claim arising from your misuse of the page, including republication of page content without consent, scraping, or any attempt to misrepresent yourself as acting on behalf of TKA.
Governing law and dispute resolution
These Terms of Use are governed by the laws of the United Arab Emirates. Any dispute arising out of or in connection with these terms is subject to the exclusive jurisdiction of the Dubai Courts, except where mandatory rules of your home jurisdiction provide otherwise. Where the underlying matter concerns Italian real estate, Italian residency, or Italian counterparties, Italian law and Italian fora will apply as a matter of statutory subject-matter jurisdiction.
Changes to these terms
Material updates to these terms will be reflected on this page with a revised effective date. The current version takes effect on the date shown below. Continuing to use the page after a revised version is published constitutes acceptance of the updated terms.
